WEBSITE TERMS AND CONDITIONS

Effective Date: 5 October 2026 Governing Jurisdiction: New South Wales, Australia Contact Email: yourremotevirtualassistant@gmail.com

Welcome to our website (the "Site"). These Terms and Conditions ("Terms") form a legally binding agreement between Your Remote Virtual Assistant ("we," "us," or "our") and you, the client ("Client," "you," or "your") purchasing our Recruitment and Managed Remote Staffing Services. By engaging our services, purchasing a package, or accessing our Site, you agree to be bound by these Terms.

1. Covered Services & Service Models

We operate an integrated digital talent management agency offering two distinct service pathways tailored to your business needs:

Managed VA Service Model

Under this model, we manage the end-to-end operational structure of your remote talent. We recruit, vet, hire, and manage independent contractor Virtual Assistants ("VAs") from the Philippines on your behalf. This pathway requires a one-time implementation and setup fee of $350 followed by a recurring monthly management fee based on your chosen VA package tier. We act as the Managed Service Provider—managing task pipelines, monitoring productivity, tracking hours via dedicated platforms (e.g., Slack, Hubstaff), enforcing operational workflows, and handling backend cross-border distribution.

Direct Hire Service Model

Under this model, you engage our agency strictly for specialized sourcing, recruitment, vetting, and onboarding infrastructure to integrate talent directly into your business. This pathway requires a one-time investment of $800. Following this initial setup and handoff, you hold no ongoing financial or operational obligations to our agency. You will contract, hire, and manage your VA directly as part of your internal team.

Under both engagement models, VAs can perform tasks across your selected operational pillars, including Administrative Support, Customer Service, Content Creation, Social Media Management, Website Management, and Tech Automation.

2. Fair Work Compliance & Independent Worker Safeguards

To ensure strict compliance with the Fair Work Commission (FWC) frameworks, the Fair Work Act 2009 (Cth), and NSW workplace laws, both parties explicitly agree to the following structural boundaries:

No Tripartite Employment

The Client acknowledges that this is a business-to-business services contract. No employer-employee relationship, partnership, or joint venture is created between the Client and our agency, nor between the Client and any assigned or sourced remote VA.

Discretion and Task Autonomy

While the Client defines the business objectives, tasks, and raw inputs ("brain dumps"), the remote worker retains absolute structural autonomy over the specific methods, hours, and execution choices used to achieve those outcomes.

Exclusion of Host Liability

The Client is a consumer of a professional service and is not a "host employer" or direct supervisor. For Managed VAs, our agency handles all international compensation, local Philippine tax declarations, independent business compliance, and administrative goodwill adjustments. The Client has no liability for leave entitlements, superannuation, or workplace workers' compensation under Australian law.

3. Cancellations, Refunds, and Shortlist Revisions

Cancelling Before Work Begins

If you cancel in writing before we start work on your recruitment (before we have drafted or posted the job advertisement), you will receive a full refund of the fee you paid.

Cancelling After Work Begins

Our recruitment and sourcing operations cover time and work carried out from the day we start. Once we have begun sourcing and screening, the fee is non-refundable because that operational work has already been executed. If you cancel part-way through, we may, at our sole discretion, refund any stage of the service we have not yet started.

If None of the Shortlisted Candidates Suit You

If none of the top candidates we present is a suitable match, you must notify us in writing within seven (7) days of receiving the shortlist. We will provide one (1) additional shortlist at no extra cost, using any updated requirements you give us. If you do not hire anyone from this additional shortlist, no further refunds apply.

One-time Implementation & Setup Fee (Managed Service)

The one-time implementation and setup fee of $350 covers end-to-end vetting, skill testing, matching, and onboarding infrastructure to ensure a smooth transition from day one. This fee is refundable only if you cancel before the initial interview arrangements begin with the candidates. Once an interview day has been scheduled or conducted, this fee becomes strictly non-refundable.

Direct Hire Sourcing & Recruitment Fee

This is a one-time investment of $800. This upfront cost covers tailored role scoping, talent recruitment, guided onboarding, and system setup to guarantee seamless delegation from day one. After this initial one-off payment, you will not owe any additional fees to us, as you will be hiring and managing your VA directly as part of your team.

How Refunds Are Made

Approved refunds are paid to your original payment method within 7–10 business days of our written confirmation.

4. 30-Day Replacement Guarantee

This replacement guarantee applies to both our Managed VA Service and Direct Hire Service. If a VA assigned to or hired by you resigns, becomes unavailable, or is clearly unsuitable within thirty (30) calendar days of their official start date, we will source one (1) replacement shortlist at no extra recruitment fee, provided that:

  • Written Notice: You notify us in writing within that 30-day window.

  • Account Standing: Your recruitment, setup, and initial management fees have been paid in full.

  • Operational Alignment: You provided accurate information about the role and worked with the VA in line with the agreed operational parameters and workspace boundaries.

What the Replacement Guarantee Does Not Cover:

  • Changes to the role, hours, or duties after the VA was hired and assigned.

  • Client-side business changes, such as reduced workload, budget cuts, or business closure.

  • Service termination caused by client non-payment, unreasonable instructions, or a breach of these Terms by you.

  • Removal or replacement requests for a VA received more than 30 days after their start date.

  • Subsequent replacements after a replacement VA have already been provided once under this guarantee.

5. Client System Environment Access & Dependencies

Software Tooling Execution

Our team coordinates operations within an explicit stack of modern cloud applications—including Notion, Asana, Trello, Slack, Hubstaff, Mailerlite, ActiveCampaign, and Google Workspace. To ensure successful service implementation, you agree to securely provide required system access configurations or platform licenses.

Client Delays

We are not liable for missed execution dates or campaign delivery failures caused by a client's failure to provide foundational files, asset instructions, or timely project feedback.

6. Fees, Invoicing, and Service Pauses

Invoicing Mechanics

Managed services are invoiced on a recurring fortnightly basis (issued on the 15th and 30th of each month) or according to your pre-paid monthly subscription cycle depending on your chosen VA package. Direct Hire fees are invoiced upfront upon engagement.

Strict 5-Day Payment Window

All invoices are due and payable within 5 business days of the invoice date.

Late Fee Adjustments & Suspension:

If an invoice remains unpaid after the 5-day grace period, we reserve the right to:

  • Apply a late fee of 2% per month (calculated daily) on the outstanding balance until settled.

  • Immediately pause work and lock system access to your assigned virtual assistants (for Managed Services), without liability for any disruptions caused to your live business operations.

VA Managed Payments

For the Managed VA model, all amounts paid for your VA's ongoing service hours are billed by and paid directly to our agency as part of your managed service fee structure. These funds are used to clear international service provisioning costs and are non-refundable by us. Notice periods and structural assignment terms are governed by these Terms and your individual service proposal.

7. Accepted Payment Methods & Processing Fees

Supported Channels

We accept payments strictly through the following channels:

  • Local Bank Transfer into our Australian ANZ Bank account via PayID or standard BSB/Account number transfers

  • Wise (formerly TransferWise)

  • PayPal

Surcharge and Transfer Fee Indemnity

All merchant transaction fees, international transfer charges, currency conversion gaps, and banking fees incurred during the transaction process are the exclusive financial responsibility of the Client.

Net Settlement Requirement

Transfer fees and gateway deductions must not be deducted from the total invoice amount owing to us. The full invoice balance must clear into our designated accounts unencumbered. If any transaction costs are deducted from the payment we receive, the remaining balance will be carried forward as an outstanding debt on your account and may attract late fees or trigger service pauses as detailed in Section 6.

8. Intellectual Property (IP) Protection & Chain of Title

Our Agency IP

We retain all rights, titles, and interests in our unique management systems, internal onboarding scripts, optimization templates, and training models.

Client Assigned IP

Upon full and final payment of all outstanding invoices relating to your project, we assign to you all intellectual property rights, titles, and interests in the final custom deliverables (copywriting, custom graphics, structured systems templates, or newsletters) built for your brand.

Clean Chain of Title Guarantee

We warrant that our contracts with our offshore Philippine remote workers contain strict, enforceable intellectual property assignment clauses. This ensures we hold clear legal title to pass unencumbered IP ownership directly to you.

9. Data Privacy, Cybersecurity, and International Transfers

Australian Privacy Principles (APP 8)

In alignment with the Privacy Act 1988 (Cth), you acknowledge that your operational business information will be securely transferred and processed internationally by our remote team.

Remote Security Infrastructure

We mandate that all virtual workers perform services behind strict cybersecurity standards—including mandatory Two-Factor Authentication (2FA), secure connection protocols via Virtual Private Networks (VPNs), up-to-date antivirus configurations, and encrypted password handoffs.

10. Australian Consumer Law & Liability Limits

Statutory Guarantees

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms limits or modifies your statutory consumer rights.

Liability Cap

To the maximum extent permitted by law, our total cumulative liability to you for any losses, damages, or claims (whether in contract, tort, negligence, or otherwise) shall be strictly capped at the total amount actually paid by you to us during the three (3) months immediately preceding the event that gave rise to the liability.

Exclusion of Consequential Losses

Under no circumstances are we liable for indirect, incidental, or consequential damages, including loss of profits, data loss, or business interruption resulting from system configurations or remote worker availability.

11. Service Termination & Non-Solicitation

14-Day Notice (Managed Service)

Either party may terminate an ongoing managed service agreement by providing a minimum of fourteen (14) days' written notice delivered via email.

Final Processing

Upon notice of termination, you agree to immediately settle any outstanding balances for hours tracked or milestones completed up to the final date of service. Client access environments will be cleanly disconnected upon the conclusion of the 14-day notice period.

Strict Non-Solicitation Covenant

The Client explicitly agrees that they will not directly or indirectly recruit, solicit, engage, hire, or attempt to contract directly with any remote worker, contractor, or virtual assistant introduced to them by our agency outside of this agreement. This restriction applies throughout the duration of your service and for a period of twelve (12) months following the termination of your agreement with us. A breach of this section will result in liquidated damages payable to us equal to $10,000 AUD per worker, representing a genuine pre-estimate of our recruitment, training, and operational losses.

12. Governing Law

These Terms and your engagement with our agency are governed exclusively by, and construed in accordance with, the laws of the State of New South Wales, Australia. Both parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.
